Terms of Service

By accessing or using Kaion OS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

The Service is provided by Incendio Digital Labs (Pty) Ltd("IDL", "we", "us"), a private company registered in South Africa. These Terms constitute a binding agreement between you and IDL.

Kaion OS is a modular AI-assisted operating system that enables individuals, families, and organisations to manage tasks, workflows, documents, compliance, and communications through a unified workspace. The AI component ("KAI") assists users by proposing and, with explicit human approval, executing actions across connected systems.

The Service is provided on a subscription basis. Free tier features are available as described on the pricing page. IDL reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

You may use the Service only for lawful purposes. You must not:

• Use the Service to violate any applicable South African or international law or regulation.
• Attempt to gain unauthorised access to any part of the Service, its infrastructure, or other users' data.
• Use KAI to generate, distribute, or act on content that is unlawful, defamatory, fraudulent, discriminatory, or harmful.
• Use the Service to process personal information of third parties without their knowledge and consent as required by POPIA.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Resell, sublicense, or white-label the Service without a separate written agreement with IDL.
• Use automated scripts or bots to access the Service in a manner that exceeds normal use or disrupts the platform.
• Circumvent or attempt to circumvent the human-approval requirements for AI-assisted actions.

KAI is an AI assistant. While KAI is designed to be helpful and accurate, it may make errors, misinterpret instructions, or act on incomplete information. You acknowledge and agree that:

• All AI-proposed actions require your explicit approval before execution. You are responsible for reviewing each proposal before approving it.
• IDL does not guarantee the accuracy, completeness, or suitability of any AI-generated output, recommendation, or action.
• You remain solely responsible for the consequences of actions you approve, including actions that interact with third-party systems (payroll, legal documents, financial records, communications).
• KAI may not be used as a substitute for qualified professional advice — legal, financial, medical, or otherwise. Where such advice is required, consult an appropriately qualified professional.
• The AI model powering KAI is provided by Anthropic, Inc. IDL does not control the underlying model behaviour and cannot guarantee its outputs.

Your use of the Service is also governed by our Privacy Notice, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and processing of your personal information as described therein.

You retain ownership of all data you input into the Service. By using the Service, you grant IDL a limited, non-exclusive licence to process your data solely to provide the Service to you.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at kaionos@incendiogroup.co.za if you suspect unauthorised access to your account.

IDL reserves the right to suspend or terminate accounts that violate these Terms, exhibit unusual activity, or pose a security risk to the platform or other users.

All intellectual property in the Kaion OS platform, including software, design, brand, and AI system architecture, is owned by or licensed to IDL. Nothing in these Terms transfers any intellectual property rights to you.

You retain all intellectual property rights in the content you create using the Service. AI-generated outputs produced through your prompts are owned by you, subject to Anthropic's usage policies.

To the maximum extent permitted by South African law:

• IDL's total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid to IDL in the 12 months preceding the claim, or R1,000, whichever is greater.
• IDL is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill.
• IDL is not liable for any loss or damage arising from your reliance on AI-generated outputs, recommendations, or actions approved by you.
• IDL is not liable for downtime, data loss, or service interruptions caused by third-party infrastructure providers (Vercel, Neon, Anthropic, Microsoft).

Nothing in these Terms excludes or limits IDL's liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

You agree to indemnify and hold harmless IDL, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

You may stop using the Service at any time. IDL may terminate or suspend your access immediately if you breach these Terms or if we are required to do so by law.

On termination, your right to use the Service ceases. IDL will retain your data for the periods specified in the Privacy Notice and then delete it, unless a legal obligation requires longer retention.

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the South African courts.

Before initiating formal proceedings, you agree to first attempt to resolve any dispute by contacting IDL at kaionos@incendiogroup.co.za and allowing 30 days for resolution.

IDL may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms at kaion.co.za/terms with a revised effective date. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
